What is a registered agent in Texas?
A registered agent is a person or company you name on your formation paperwork that the state can officially reach. Their address is public, and they receive legal documents for your business — lawsuits, notices from the Secretary of State and the Comptroller, and official correspondence from the government.
Why it's important.
- You never miss a lawsuit or legal notice — if the state can't reach you through your registered agent, a court can proceed without you and enter a default judgment against your business.
- You stay in good standing with the state. Missing official notices can lead to your LLC or corporation being dissolved or losing its authority to do business.
- Your home address stays private. The registered agent's address is what appears in public records, not yours.
- Your LLC or corporation must have one — Texas won't let you form a business without a registered agent on file.
